Board Review Requirements
The Stock Exchange of Hong Kong Limited (the Exchange) published conclusions to its consultation on Review of the Corporate Governance Code and related Listing Rules in December 2024, with the revised requirements taking effect from 1 July 2025.
One key update is that listed companies are required to conduct a formal evaluation of the board’s performance at least every two years. This requirement has been elevated from a recommended best practice to a mandatory Code Provision (Code Provision B.1.4).
The review is expected to assess not only the overall effectiveness of the board, but also identify areas for improvement. Companies are further required to disclose the results and key details in their Corporate Governance Reports.
